Terms & Conditions

By accessing or using the API-based digital service platform at TideNet.online (“the Platform”), you (“the Client”) agree to be bound by the following Terms & Conditions. These terms constitute a binding legal agreement between you and TideNet Technical Services.

1. The Nature of Service

TideNet provides a technical middleware infrastructure that facilitates API-based communication between the Client and third-party service providers.

  • Non-Custodial Provision: The Client acknowledges that TideNet is a technical conduit only. TideNet does not hold, manage, or take possession of any funds, digital assets, or physical inventory.
  • Intermediary Status: TideNet is not a party to the underlying transactions between the Client and third-party providers (e.g., banks, couriers, or vendors).

2. Client Responsibilities

  • Integration Integrity: The Client is responsible for the correct implementation of TideNet APIs within their own systems.
  • Security Credentials: The Client must maintain the absolute confidentiality of their API keys and account credentials. Any action taken via the Client’s API key is deemed to be authorized by the Client.
  • Lawful Use: The Client agrees to use the Platform in compliance with the Prevention of Electronic Crimes Act (PECA) 2016 and all other applicable laws of Pakistan.

3. Service Level Agreement (SLA)

  • Uptime Goal: TideNet aims for a 99.9% system uptime.
  • Scheduled Maintenance: TideNet reserves the right to conduct scheduled maintenance. We will provide a minimum of 24 hours’ notice for any planned downtime that may affect API availability.
  • Force Majeure: TideNet is not liable for service interruptions caused by factors beyond our control, including internet backbone failures, regulatory shifts, or extreme weather events.

4. Fees and Billing

  • Service Fees: Access to the Platform is subject to the fee schedule agreed upon during onboarding (e.g., monthly subscription or per-API-call billing).
  • Non-Refundable: All fees paid to TideNet are for the provision of technical infrastructure and are non-refundable once the service period has commenced.

5. Intellectual Property

  • Platform Ownership: All code, API structures, documentation, and software provided by TideNet remain the exclusive property of TideNet.
  • Limited License: The Client is granted a non-exclusive, non-transferable license to use the TideNet APIs solely for the duration of the service agreement.

6. Limitation of Liability

  • As-Is Basis: The Platform is provided on an “as-is” and “as-available” basis.
  • No Asset Liability: As a non-custodial service, TideNet shall not be liable for any loss of funds, assets, or data occurring within the Client’s or the third-party provider’s systems.
  • Indirect Damages: In no event shall TideNet be liable for any indirect, incidental, or consequential damages (including loss of profit) arising out of the use of the technical bridge.

7. Termination

  • Termination for Convenience: Either party may terminate the agreement with 30 days’ written notice.
  • Immediate Termination: TideNet reserves the right to suspend or terminate API access immediately if the Client is found to be in breach of security protocols or engaged in fraudulent activity.

8. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts in Karachi.
